1. Interpretation
"Company" means Megna Carta Marketing Ltd, registered in England and Wales (Company No. 00000000), whose registered office is at 20 Kingsley Ave, Hounslow, TW3 4AQ.
"Client" means any business, organisation, or individual who engages the Company for the provision of services.
"Services" means the energy, water, and utilities consultancy, procurement, and management services provided by the Company.
"Agreement" means the contract formed between the Company and the Client upon acceptance of these Terms, whether in writing, verbally, or by conduct.
"Supplier" means any third-party energy or water supplier with whom the Company interacts on the Client's behalf.
References to "we", "us", and "our" refer to Megna Carta Marketing Ltd. References to "you" and "your" refer to the Client.
2. Our Services
2.1 Scope of Services
Megna Carta Marketing Ltd provides independent utilities consultancy and brokerage services to UK businesses, including but not limited to:
- Energy procurement (electricity and gas) and contract negotiation
- Water procurement, efficiency audits, and compliance support
- Utilities portfolio management for single and multi-site businesses
- Bill validation, dispute resolution, and billing anomaly identification
- Carbon and sustainability reporting and advisory
- Smart metering and monitoring solutions
2.2 Independence
We act as an independent intermediary and are not tied to any specific supplier. Our recommendations are based on whole-market analysis and your individual requirements. We will always seek to act in your best commercial interests.
2.3 Service Standards
We shall provide all Services with reasonable skill and care, in accordance with applicable UK law and industry regulations. We cannot guarantee the performance or availability of any third-party Supplier.
3. Client Obligations
3.1 Accurate Information
You agree to provide us with accurate, complete, and up-to-date information regarding your business, premises, existing contracts, and utilities usage. Any inaccuracies may affect the quality of our recommendations and we accept no liability for outcomes resulting from information you have provided that is incorrect or misleading.
3.2 Letter of Authority
Where requested, you agree to provide a signed Letter of Authority (LOA) permitting us to liaise with Suppliers on your behalf. The LOA remains valid until withdrawn in writing. You may revoke authority at any time by giving us seven (7) days' written notice.
3.3 Timely Responses
You agree to respond to our requests for information, approvals, or instructions in a timely manner. Delays caused by your failure to respond may affect the availability of quoted rates and we accept no liability for any such loss.
3.4 Authorisation
You warrant that you are authorised to enter into this Agreement on behalf of your organisation and that the information provided relates to premises and accounts over which you have authority.
4. Fees & Remuneration
4.1 Commission-Based Model
In many cases, our services are provided at no direct cost to you. We receive remuneration in the form of a commission or uplift incorporated within the unit rates agreed with your Supplier. This will always be disclosed to you prior to contract execution.
4.2 Consultancy Fees
Where a consultancy or management fee is applicable, this will be agreed in writing before any chargeable services commence. No fees will be charged without your prior written consent.
4.3 Disclosure
In compliance with Ofgem guidance and applicable regulations, we will always be transparent about how we are remunerated. Upon request, we will provide full written disclosure of any commission or charges received in connection with your account.
5. Data Protection
Megna Carta Marketing Ltd is committed to protecting your personal and business data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
The data you provide will be used solely for the purpose of delivering the agreed Services, communicating with Suppliers on your behalf, and fulfilling our legal obligations. We will not sell, rent, or share your data with unrelated third parties without your express consent.

6. Limitation of Liability
6.1 Exclusions
To the fullest extent permitted by law, Megna Carta Marketing Ltd shall not be liable for:
- Any loss of profits, revenue, business, or anticipated savings
- Any indirect, consequential, or special loss
- Losses arising from the acts or omissions of third-party Suppliers
- Losses arising from your failure to provide accurate or timely information
6.2 Cap on Liability
Our total liability to you in connection with any Agreement shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
6.3 Statutory Rights
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.
7. Termination
7.1 Termination by Either Party
Either party may terminate this Agreement by giving thirty (30) days' written notice to the other, subject to any obligations that have already arisen under an existing Supplier contract.
7.2 Immediate Termination
We reserve the right to terminate this Agreement with immediate effect if you breach any material term, become insolvent, or engage in conduct that is unlawful or damaging to our reputation.
7.3 Effect of Termination
Termination shall not affect any rights or obligations that have accrued prior to the date of termination. Any commission arrangements already in place with Suppliers may continue for the duration of the relevant supply contract.
8. Governing Law & Jurisdiction
These Terms and Conditions, and any Agreement formed hereunder, shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to These Terms
We reserve the right to amend these Terms at any time. Any material changes will be notified to active clients in writing with a minimum of 14 days' notice. Continued use of our services following notification constitutes acceptance of the revised Terms.
